The Opportunity:
We’re looking for a Contracts Manager to help us shape the future of education. As a member of our Legal and Contracts team, you’ll work through litigation and negotiate corporate transactions. The team works to ensure that the activities Blackboard engages in are legal and compliant.


 


As a Contracts Manager, you will work on the preparation and negotiation of software license and service agreements and ensure compliance of legal terms and conditions by Blackboard and customers.  This includes working closely with sales staff, technical services staff, and the Vice President of Contracts on contract matters and drafting and negotiating contracts. In addition to drafting and negotiating software license agreements, you will also work on professional services agreements, contract addenda, and reseller and partner agreements. You will review RFPs, RFIs, and RFQs, offering appropriate alternatives to contract terms and conditions. You will also resolve issues impacting company compliance and ensure satisfaction of legal requirements of Blackboard and customer objectives. You’ll advise sales management of contractual rights and obligations, provide clarification of contract terms and conditions, and interpret contract policies, operating practices, and performance standards within the Contracts Team.
The Candidate:
Has light experience in the development, negotiation, and execution of software contracts
Thrives in a team and customer service-oriented environment
Is highly efficient and able to handle multiple tasks with ease and professionalism
Is proactive and prioritizes work under tight deadlines in a service-oriented and aggressive sales-driven environment
Has excellent analytical and written and oral communication skills
Is familiar with software and hardware corporate revenue recognition issues and legal concepts regarding software contracts and licensing such as Limitations of Liability, Indemnification, Warranties, etc.  
Has light experience with software and services contract management/negotiation in a high-tech organization, SAAS experience a plus
SalesForce.com experience is preferred
Higher Ed or Public Sector contracts experience a plus
