The Contract Specialist within Deloitte Consulting's Quality & Risk Management (QRM)/Specialized Risk group will serve as a trusted advisor to Deloitte Consulting leadership on contractual matters related to account-level agreements (which are negotiated by the Office of General Counsel (OGC)) and subordinate, engagement-specific documents for complex, information technology (IT) services (e.g., Technology Preferred Provider (TPP) relationships). The Contract Specialist will be the primary point of contact for all post-award contractual issues related to these complex, IT services relationships. Post-award support will follow a thoughtful transition from the Risk Manager who supported the negotiation of the master terms. The Contract Specialist will provide guidance and support to the business team ranging from compliance/administrative matters to the construction of highly customized contract documents related to subordinate services.
The Contract Specialist will team with other functions (e.g., DE Quality, Office of General Counsel (OGC); Information Security (InfoSec); Office of Confidentiality and Privacy (OCP); Contingent Workforce Services (CWS)) to orchestrate integrated support and guidance to Deloitte Consulting's client teams to address Deloitte Consulting policies and procedures, contractual obligations, and regulatory compliance, as described below.
The Contract Specialist will facilitate and lead the contractual analysis necessary to address business issues that intersect one or more contracts, provide guidance as to contractual positions, develop options using contractual strategy, protect and help grow revenue streams, while balancing the TPP client relationship. The Contract Specialist will establish direct communications with clients (primarily Procurement and Vendor Management), subcontractors and third-party technology providers to resolve business issues. The Contract Specialist will address contractual matters related to client-facing contracts, non-standard subcontracting, global contracting (internally and with the client), and technology licenses essential to hybrid engagements (including providing Risk input for flow-through provisions for subcontractors and third-party technologies agreements).
Work you'll do
Provide guidance and support to Deloitte Consulting account leaders post contract execution for multi-tiered contractual relationships for complex, IT services (e.g., TPP accounts);
Provide support and guidance for the resolution of contractual matters by performing thorough research of tiered contracts, preparing analysis of potential options for resolution/response, compiling factual information, and preparing draft communications to support Deloitte Consulting's positions;
Work with account and engagement teams to distil complex business issues that intersect one or more contracts; analyze and assess potential impacts associated with contractual disputes, develop a point of view and prioritized strategies for resolution, and assist in negotiations with clients to resolve informal issues and formal disputes;
Work closely with account and engagement teams in connection with subordinate statements of work, work orders and complex change orders by providing guidance/input to construction, reviewing for Risk mitigations, and supporting negotiations, all with a primary focus on ensuring timely and appropriate resolution of issues, adjustments to contract scope, schedule, methodologies, Service Level Agreements (SLAs), fees and other terms as circumstances dictate (including renegotiations and extensions);
Provide guidance and support for customized subcontracting arrangements, working closely with OGC and participating in direct negotiations; ensure all subcontracts include applicable prime contract flow-down provisions; assist in managing contractual issues and disputes with subcontractors as they arise;
Facilitate escalations and involvement of other functions as necessary (e.g., account Risk Manager, OGC, OCP, InfoSec, CWS) to optimize Deloitte Consulting's position and outcomes for TPP relationships (including non-US Deloitte Firms where global contracting is required);
Develop and implement contract management tools including: negotiated templates, contracting guidebooks, and methods and processes essential for successful compliance during delivery of engagements;
Provide contractual compliance/administrative support and guidance directly and potentially with support from Contract Support Specialists (e.g., capture, track/monitor, and document compliance with contractual obligations; maintain conformed contracts by applying change orders and amendments for both client and subcontractor contracts; prepare routine notices to clients);
Participate in regular project status meetings (internal and with clients) to promote resolution of issues with contractual relevance;
Prepare for and participate in periodic Engagement Reviews leading discussions on contractual matters;
Support contract closeout processes (including for partial terminations) by providing guidance to engagement Project Management Office for offboarding checklists, document archival instructions, address return of confidential information, declaration of proprietary works, and transfer of software licenses;
Conduct post-engagement contract review/retrospective/lessons-learned, promote information-sharing to improve future contract negotiations and contractual outcomes for future engagements; and
Develop and maintain a close working relationship with Deloitte Consulting account leaders and client procurement/vendor management officials as a point of contact for contractual matters.
Qualifications
Required
5 years of direct contract management/strategy, negotiation and/or risk management experience including strong contractual fluency, complex, IT SOW negotiations, dispute resolution, global contracting and subcontracting
3 years working with licensed technologies (e.g., specialized software, cloud capacity/platforms)
3 years working directly with senior level executives
Education: BS/BA
Ability to travel up to 25%, on average, based on the clients and industries/sectors you serve
Preferred:
Experience evaluating and addressing contractual risk related to IT and asset-based (hybrid) services
Experience optimizing support teams including training and mentoring
Results-orientation and ability to flex based on urgency
Negotiation skills that can be applied both internally and externally
Strong track record of success in Delivery Excellence/Risk and/or in client service delivery
Strong track record of understanding and navigating creative deal structures
Ability to understand the Firm's complexity and how to navigate successfully
Strong oral and written communication skills and the ability to construct and negotiate sufficient contractual provisions addressing business issues
Ability to work autonomously in a matrixed, fast-paced, multi-task environment
Law degree or MBA
The wage range for this role takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled. At Deloitte, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $114,000-$209,000.
You may also be eligible to participate in a discretionary annual incentive program, subject to the rules governing the program, whereby an award, if any, depends on various factors, including, without limitation, individual and organizational performance.
