This position will be responsible for drafting and negotiating to execution various legal agreements, with an initial primary focus on technology transfer agreements, confidentiality\/nondisclosure agreements (CDAs\/NDAs), material transfer agreements (MTAs), consulting services agreements, and similar commercial agreements. Experience with bids\/tenders and other forms of commercial contracts would be beneficial. For CDAs\/NDAs and MTAs the Contracts Specialist will utilize contracts automation software (ContractExpress), and work from established agreement templates. Training will be provided on ContractExpress, but comfort with using software and databases to store and manage agreements is essential. For other contracts the Contracts Specialist will work with templates provided by Divisional Contracts Attorneys. The Contracts Specialist will also be expected to work with Divisional Attorneys to maintain and improve current contract templates. The Contracts Specialist will act as point of contact for internal and external customers on contractual matters to ensure timely review and approval\/reconciliation of contract modifications. The Contracts Specialist will draft contract amendments and negotiate directly with external customers, interfacing with internal counsel as required. The Contracts Specialist will maintain contractual records and documentation using two legal databases (eCounsel, iManage).
