Harris Geospatial Solutions Inc. (HGSI) seeks a contracts professional with experience in the commercial software development and distribution industry to perform contract preparation and administration related to software licensing, product distribution, and professional services agreements for domestic and international customers and vendors. The contracts manager is responsible for reviewing, drafting, revising and negotiating contracts, monitoring of contract performance and compliance, recommending improvements and innovations to the oversight of the contract process and ensuring contract accuracy. The successful candidate will apply formal, best practice methodologies to develop and implement contract strategies to support the sales process. The contracts manager has a high degree of interaction with internal constituencies across all organizational functions (sales, engineering, program management, technical support, middle and senior management and corporate headquarters personnel), as well as domestic and international customers and vendors. In addition, the contracts manager will escalate complex legal and factual issues to corporate legal counsel and assist in resolution.
This position is a critical function within the organization and reports directly to the Sr Manager, Contracts of the organization. This role is an excellent opportunity for a team-oriented, highly motivated, and results-oriented individual to be a hands-on contributor to a growing global business.
Primary Duties and Responsibilities:\u00a0 Formulates, reviews, and negotiates software distribution and license agreements with both customers and vendors
Formulates, reviews, and negotiates nondisclosure agreements and teaming\/partnering agreements
Formulates and administers business agreements such as external sales and consulting contracts, purchase orders, service agreements, and distributors and resellers agreements\u00a0
Actively supports business pursuits throughout the opportunity lifecycle, including proposals, contract\/agreement negotiation, and ongoing administration
Reviews and approves purchase order terms and conditions
Prepares metrics on contract operations for reporting to management
Interacts with internal and external customers and multiple levels of company management and facilitates a timely sales cycle\u00a0
Maintains knowledge of domestic and international contract laws and regulations in areas such as intellectual property licensing, warranty, indemnity, non-competition, anti-corruption\/anti-bribery, etc.\u00a0
Management of the company's electronic contract database and management system Qualifications: Bachelor's degree and 8 plus years\u2019 experience in contract administration in a technology product domain, preferably software and\/or data related; or equivalent.
4 years working with commercial (UCC) contracting practices
4 years experience in drafting and negotiating complex software license agreements, including SaaS subscription agreements
4 years experience in developing and maintaining contracts in accordance with company policies and legal requirements
4 years knowledge of domestic and international contractual matters in areas such as intellectual property licensing, warranty, indemnity, financing, etc. Preferred Additional Skills: JD Degree
Ability to effectively communicate and work as a team with internal\/external sales teams and legal counsels
Strong individual initiative, organizational skills and ability to research issues\/problems and offer alternative solutions.
Focused, results-oriented individual who takes pride in his or her work, has a flexible and can-do attitude, and can shift focus quickly depending on the changing needs of the business
Proficient in MS Word, PowerPoint, Excel and documentation databases.\u00a0
Certified Commercial Contracts Manager (CCCM) or Certified Federal Contracts Manager (CFCM) or equivalent desirable.
